Upon graduation from Harvard Law School, our founder began his career with a big firm in Seattle, Washington, and then went on to practice at some of the nation’s largest and most prestigious law firms, until founding our law firm. Kelvin Kesse is the founding partner of Kesse PLLC, a corporate law firm. Prior to founding Kesse PLLC, Mr. Kesse practiced law at some of the biggest and most prestigious law firms in the United States. Mr. Kesse’s practice focuses on securities, capital markets, SEC reporting, emerging companies and startups, and general corporate law. He regularly advises clients on public and private securities offerings and financings, and he has significant experience with U.S.-Canadian cross-border offerings and other foreign private issuer offerings. He assists clients with IPOs (both traditional and Regulation A+, among others) direct listings, follow-on/secondary offerings, registered direct offerings, SPAC formations, IPOs and business combinations (deSPACs), tender offers, emerging companies and startups counseling, all aspects of emerging companies & startup matters, SEC reporting and compliance (including Form 10-Ks, Form 10-Qs, Form 8-Ks, Form 20-Fs, Form 40-Fs, Form 6-Ks, Information Statements, Proxy Statements, and Information Circulars) and stock exchange initial and additional listing and on-going listing requirements and compliance (including Nasdaq, NYSE and NYSE American, as well as the OTC Markets).

Mr. Kesse graduated from Harvard Law School, and is admitted to practice in Texas, the District of Columbia, Massachusetts, the state of Washington and North Carolina.

SEC Adopts Rule to Increase Transparency into Short Selling

On October 13, 2023, the Securities and Exchange Commission (SEC) voted to adopt Rule 13f-2 under the Securities Exchange Act of 1934 (Exchange Act) to provide greater transparency to market participants by increasing the public availability of short sale related data. The rule becomes effective on January 2, 2024, and affected institutional investment managers will have 12 months after the effective date to comply.
